By creating an account or using MediaOverview, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you do not agree to these Terms, do not use the Platform.

MediaOverview is an AI-powered social media operations platform that enables users to:

• Automate content publishing across multiple social media platforms
• Build and execute AI-powered automation workflows using LangGraph
• Track analytics and performance data from connected social accounts
• Generate AI content including transcripts, images, and videos
• Schedule recurring tasks via configurable cron expressions

You must register for an account to access the Platform. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used fraudulently.

You agree to use the Platform only for lawful purposes. You must not:

• Violate any applicable local, national, or international laws or regulations
• Use the Platform to publish spam, misleading content, or misinformation
• Attempt to gain unauthorized access to any part of the Platform or its related systems
• Use automated means to access the Platform other than through our provided APIs
• Reverse engineer, decompile, or disassemble any portion of the Platform
• Use the Platform to infringe upon intellectual property rights of third parties
• Publish content that is defamatory, obscene, or violates the terms of connected social media platforms
• Conduct activities that interfere with or disrupt the integrity or performance of the Platform

When using MediaOverview to interact with third-party platforms (TikTok, Instagram, YouTube, Facebook, etc.), you are solely responsible for ensuring your use complies with those platforms' terms of service, community guidelines, and applicable laws.

MediaOverview is not responsible for account suspensions, bans, or other actions taken by third-party platforms as a result of your use of the Service.

The Platform uses artificial intelligence to generate content including text, images, and videos. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate
• You are solely responsible for reviewing and approving content before publication
• You retain ownership of content you publish through the Platform
• We make no warranties regarding the quality or suitability of AI-generated content

The Platform, including its design, code, and content (excluding user-generated content), is the intellectual property of MediaOverview and is protected by applicable copyright, trademark, and other intellectual property laws.

You retain all rights to content you create and publish through the Platform. By using the Platform, you grant us a limited, non-exclusive license to process your content solely to provide the Service.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:

• FITNESS FOR A PARTICULAR PURPOSE
• MERCHANTABILITY
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY OR RELIABILITY OF RESULTS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIAOVERVIEW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless MediaOverview and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with:

• Your use of the Platform
• Your violation of these Terms
• Content you publish through the Platform
• Your violation of any third-party rights or platform terms

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, the Platform, or third parties, or for any other reason at our sole discretion.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.
